These terms apply to design, build, branding and maintenance work carried out by Alpha Digital Studio Limited, trading as Alpha Digital. They are written to be read once, in full, without a lawyer.

1. Who these are between

Alpha Digital Studio Limited, of Room 1601, One Island South, 2 Heung Yip Road, Wong Chuk Hang, Hong Kong SAR ("the Studio"), and the person or company that accepts a written quotation ("the Client"). Nothing on the website is an offer capable of acceptance: the agreement begins when a quotation has been accepted in writing by both sides.

2. Scope is what the quotation says

Every engagement is quoted with a fixed figure in US dollars or euros, a defined deliverable and a delivery window. Package descriptions on this site — LAUNCH, BRAND, FULL STACK and CARE — describe the standard content of each; the quotation is what binds. The free audit call that precedes a quotation creates no obligation on either side.

Anything not named in the quotation is out of scope. That is not a trap, it is the mechanism that keeps the price fixed. Additional work is quoted separately and started only once agreed.

3. What the Client provides

Unless the quotation says otherwise, the Client supplies:

The Client confirms they hold the rights to everything they supply and indemnifies the Studio against claims arising from material provided by them.

Content is the usual cause of delay. Delivery dates are calculated from the date complete content is received, not from the date of payment. If content is outstanding for more than 60 days, the project may be invoiced in full for work done to that point and closed, and restarting is quoted afresh.

Two rounds of revisions are included during the build. Within each round, changes are unlimited — the round closes when the Client says it does.

After the site is live, changes are chargeable: as a small job, quoted individually, or as part of a care plan. A revision means refining what was quoted; asking for a different design direction after one has been approved is new work, and is quoted as such.

6. Ownership

On receipt of final payment, the Client owns the deliverables: the website, the design files, and the source artwork for any logo or print item. The domain and hosting are registered in the Client's own name from the outset and are never held by the Studio.

Third-party components — typefaces, stock images, plugins, themes — remain governed by their own licences, which are transferred or identified at handover. Until final payment, the Studio retains ownership of the work produced.

The Studio may show completed work in its portfolio and link to the live site, unless the Client asks in writing that it does not.

8. What is not promised

Sites are built to standards that make good search performance possible. No ranking position, traffic volume, conversion rate or sales figure is promised, because none of it is within the Studio's control.

Print artwork is supplied as files. The Studio is not responsible for the output of any printer or sign maker, and the Client is strongly advised to approve a proof from their supplier before a full production run.

Third-party platforms may change their features, pricing or terms at any time. Where such a change affects delivered work, remedying it is new work.

9. Cancellation and refunds

The Client may cancel at any time. The deposit covers work already carried out and is non-refundable once work has started; anything paid beyond the value of work completed is refunded within 14 days, to the account or card it was paid from. A deposit paid before any work has started is refunded in full. Care plan payments are not refunded for the month in progress; the plan simply ends at the close of the paid month.

The Studio may decline or withdraw from an engagement — including after a deposit — if the work turns out to be materially different from what was described, or if it would require something unlawful or dishonest. In that case the deposit is refunded in full, less the value of work already delivered to the Client.

10. Liability

The Studio's total liability under any engagement is limited to the amount paid by the Client for that engagement. Neither party is liable for indirect or consequential loss, including lost profit or lost data. Nothing here limits liability for fraud or for anything that cannot lawfully be limited.

11. If something goes wrong

Email contact@alphadigital-studio.com and say what the problem is. Most disputes are misunderstandings about scope and are settled in a day. Both sides agree to raise a complaint in writing and allow 30 days to resolve it before taking any other step.

12. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have jurisdiction. Where the Client is a consumer resident elsewhere, this does not remove any protection they have under the mandatory law of their own country.

13. Changes to these terms

These terms may change; the version that applies to an engagement is the one in force on the date the quotation was accepted. The date at the top of this page shows when this version took effect.
